R&C Policy for Corporate Social Responsibility

Compliance Report on implementation of Guidelines on suo motu disclosure under Section 4 of the RTI Act 2005

In accordance with Chapter-II, Section 4(1) Sub-clause b) of The Right to Information Act, 2005 which provides for setting out the practical regime of right to information for citizens to secure access to information under the control of public authorities, in order to promote transparency and accountability in the working of every public authority, Richardson & Cruddas (1972) Ltd. (hereinafter called R&C) places the following information for use by citizens:

  1. The particulars of organization, functions and duties : Please refer to the home page of this web site.

  2. The powers and duties of officers and employees:Powers & duties of the officers & employees are vested from time to time departmentally according to the needs as applicable to a commercial organization.

  3. The procedure followed in the decision making process including channels of supervision and accountability: As a purely commercial organization registered and bound under the provisions of Company's Act, the procedure of decision making in R&C is strictly in conformity with all relevant sections, rules under the purview of Presidential enactments under Company, Administrative, Labour, Civil, Criminal, Commercial, Tax Laws. The Board of Directors is the decision-making authority.

  4. The Norms set by company for the discharge of its functions: R&C's philosophy & norms on corporate governance in discharge of it's functions is guided by a strong emphasis on the following:
    • Transparency
    • Accountability
    • Integrity

  5. The Rules, Regulations, Instructions, Manuals and Records held by the company or under its control or used by its employees for discharging its functions: Major guiding documents for the company's employees for discharging its functions are given below:-
    • Memorandum and Article of Association
    • Standing Orders
    • Delegation of powers
    • Conduct, Discipline and Appeal rules
    • Documents relating to ISO-9001-2008, ISO 14000-2004 & OHS0 – 18001-2007 containing procedures for the running of company business

  6. R&C maintains the following categories of documents relating to its business procedures:-
    • Commercial
    • Technical
    • Legal (Licenses, Permits)

  7. The particulars of any arrangement that exists for consultation with, or representation by, the members of the public in relation to the formation of its policy or implementation thereof: R&C interacts and receives advise from various Parliamentary Committees appointed from time to time by the Government. Public can interact with R&C through the facility provided on this website.

  8. Statement of boards, councils, committees and other bodies consisting of two or more persons constituted as its part or for the purpose of its advice, and as to whether meetings of those boards, councils, committees and other bodies are open to the public, or the minutes of such meetings are accessible for public: R&C appoints number of Advisory Committees from time to time to oversee the in-house operations. Generally, the meetings of these committees are neither open nor the minutes thereof are accessible to the public.

  10. The monthly remuneration received by each of the company's officers and employees, including the system of compensation as provided in its Regulations: The compensation system is broadly structured on the guidelines issued by Department of Public Enterprises, Government of India from time to time as adopted by the Board of Directors which is implemented through Manuals / Long Term Settlements with unions / administrative circulars.

  11. The Budget allocated to each of the company's agency, indicating the particulars of all plans, proposed expenditure and reports on disbursements made: R&C operates as a single entity. The Company's Overall Performance for the year is given in the Annual Reports disclosed in the Finacial Disclosure section on the compnay website http//richardsoncruddas.com

  12. The manner of execution of subsidy programmes, including the amounts allocated and details of beneficiaries of such programmes: R&C has no subsidy programmes to offer.

  13. Particulars of recipients of concessions, permits or authorization granted by the company: R&C does not grant any of these.

  14. Details in respect of Information, available to or held by the company, reduced in an electronic form:Information related to Company profile / business is available on this web site.
  15. Particulars of facilities available to citizens for obtaining information, including the working hours of a library or reading room, if maintained for public use: The company does not maintain any Public Library.
